APIPurse — Terms of Service

Last updated: October 17, 2026

1. Who we are

These Terms of Service ("Terms") govern access to and use of APIPurse (the "Service"), operated by:

Yem Consult BV Zwarte Leeuwstraat 50, 2820 Bonheiden, Belgium VAT/Company number: BE1001.251.321 Email: legal@apipurse.com

referred to as "we", "us", "the Operator", or "APIPurse".

By creating an account, accessing, or using the Service, you ("you", "the Customer", "the User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. Where we process personal data on your behalf, our Data Processing Agreement also forms part of these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

APIPurse is a tool that tracks API usage and cost across third-party providers (including but not limited to OpenAI, Anthropic, Stripe, AWS, and Twilio) and custom APIs you connect, and provides budget alerts, reporting, and related features, delivered on Free, Pro, and Team subscription plans as described at https://www.apipurse.com/#pricing.

Informational purpose only. Cost and usage figures shown in APIPurse are estimates computed from data pulled from, or pushed by you to, third-party providers and publicly available pricing information. They are provided for informational and monitoring purposes only and do not replace your official billing statements from OpenAI, Anthropic, Stripe, AWS, Twilio, or any other provider. You remain solely responsible for verifying your actual spend directly with each provider. We are not liable for any decision made, or cost incurred, in reliance on figures displayed in the Service.

3. Eligibility and account registration

4. Third-party API keys and connected services

A core function of the Service is that you connect credentials (API keys, tokens, or webhook secrets) for third-party providers you use. In relation to those credentials and providers:

5. Subscription plans, billing, and cancellation

6. Acceptable use

You agree not to:

We may suspend or terminate accounts that violate this Section. Where reasonably possible we will first notify you and give you a chance to remedy the breach, except where the breach is serious or repeated, or poses a security or legal risk to us or others.

7. Team accounts

If you use Team plan collaboration features, the account owner is responsible for the conduct of every person they invite, for ensuring those individuals are authorized to access the account's data, and for removing access when appropriate (e.g. when a team member leaves your organization). We are not responsible for actions taken by an invited team member within the scope of access granted by the account owner.

8. Intellectual property

9. Disclaimer of warranties

⚠️ To the maximum extent permitted by applicable law:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY COST OR USAGE FIGURE WILL BE ACCURATE OR COMPLETE, OR THAT ANY ALERT WILL BE DELIVERED IN A TIMELY MANNER OR AT ALL (INCLUDING DUE TO THIRD-PARTY FAILURES OF EMAIL OR SLACK DELIVERY).

Cost figures are estimates. Where the Service calculates a cost itself (for example for real-time tracking, where you report a model name and token counts and we apply a per-model price), the result is an estimate. It is based on a price list maintained by a third party that we refresh periodically and that may be incomplete, delayed or wrong, and on the figures you report. Providers may bill differently (for example because of discounts, taxes, rounding, caching, batch or tier pricing, or later corrections). The invoice and usage reports of your provider are always the authoritative source for what you owe, and you should not rely on the Service as your only means of controlling spend.

Documentation and Sample Code. Our documentation, support pages, code examples, SDKs and other Sample Code are provided for illustration and general support only. They are provided "as is", without any warranty that they are correct, complete, secure, up to date, or suitable for your environment, your software versions, or your use case. They may become outdated when third-party providers or libraries change. You are responsible for reviewing, testing and securing any Sample Code before you use it, in particular in production, and for how you handle credentials, tokens and personal data in your own systems. Sample Code and documentation do not create any support obligation, service level or advice (technical, legal, financial or otherwise).

Nothing in this Section excludes or limits any warranty that cannot lawfully be excluded under the law applicable to you (for example, certain statutory guarantees available to consumers under EU or Belgian law).

10. Limitation of liability

⚠️ This section does not, and cannot, exclude liability that the law does not permit us to exclude — see the carve-out at the end of this section. Read it together with that carve-out.

To the maximum extent permitted by applicable law:

1. No indirect damages. In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. 2. Liability cap. Our total aggregate liability arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the total amount you paid for the Service (whether to us or through Stripe/Link) in the twelve (12) months immediately preceding the event giving rise to the claim, or €100 if you are on the Free plan. 3. Cost-tracking accuracy. Without limiting the foregoing, we are not liable for any decision made, budget exceeded, or cost incurred by you in reliance on data, alerts, or figures generated by the Service, including delayed, missing, or inaccurate alerts. 4. Sample Code. Without limiting the foregoing, we are not liable for any loss, cost, security incident or malfunction arising from your use, adaptation or deployment of the documentation or Sample Code, including any errors or omissions in it or any incompatibility with your systems or with third-party software.

⚠️ What this section cannot do — read this carve-out carefully. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct, to the extent such exclusion is not permitted under the law applicable to you; (d) our obligations as a data controller/processor under mandatory data protection law (including the GDPR), which exist independently of this contract and cannot be limited by it; or (e) any other liability that cannot lawfully be excluded or limited under the law applicable to you, including mandatory consumer-protection law in your country of residence if you are a consumer.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Operator and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any law or the rights of any third party; (c) Customer Data you submit; or (d) your connection of third-party credentials you were not authorized to use.

This Section applies to business customers only. If you are a consumer, it does not limit any right you have under mandatory consumer-protection law, and you are only liable for losses to the extent the law provides.

12. Export control and sanctions

You may not use the Service if you are located in, or a national or resident of, a country subject to comprehensive trade sanctions, or if you are listed on any applicable denied-party or restricted-party list (e.g. those maintained by the EU, US OFAC, or UN). You represent that you are not subject to any such restriction.

13. Service changes and availability

We may modify, suspend, or discontinue parts of the Service for valid reasons, such as technical or security needs, legal requirements, changes by third-party providers, or the commercial discontinuation of a feature. If a change materially and negatively affects paid functionality you rely on, we will give you at least 30 days' notice, and you may cancel before the change takes effect and receive a proportional refund of any prepaid period that remains. We do not guarantee any specific level of uptime and make no service-level commitment unless separately agreed with you in writing.

14. Suspension and termination

15. Governing law and disputes

These Terms are governed by the laws of Belgium, without regard to its conflict-of-law principles. Subject to the paragraph below, the courts of the judicial district of Antwerp, division Mechelen (the district covering the registered office above), Belgium have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

⚠️ If you are a consumer habitually resident in another EU member state, mandatory consumer-protection provisions of your own country of residence may still apply and may give you the right to bring proceedings in the courts of that country — this clause does not deprive you of protections you cannot contractually waive as a consumer.

16. Force majeure

Neither party is liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, internet or utility failures, or failures of third-party providers or infrastructure (including Supabase, Vercel, Stripe, or upstream API providers).

17. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or in-app notice before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

19. Switching and data portability

This Section applies to customers in the European Union and sets out your rights if you want to move to another provider, move to your own infrastructure, or have your data erased.
